India Cements Capital & Finance Ltd. was originally incorporated on 8th November 1985 as a Public Ltd. Company under the name of Aruna Finance Ltd. and obtained Certificate of Commencement of business on 14.03.1986. Its name was changed to Aruna Sugar Finance Ltd. (ASFL) with effect from 25th June 1990.
ASFL was a subsidiary of Aruna Sugars & Enterprises Ltd. (ASEL), the Promoters of the Company. It ceased to be the subsidiary by virtue of amendment to its Articles of Association by deleting Article 25 A by a special resolution at the Annual General Meeting on 06.09.1993. ASFL came out with a public issue at a premium and the shares were listed on Madras, Bombay and Ahmedabad stock exchanges. In 1994, ASFL came out with a Rights Issue with detachable tradeable warrants to the existing shareholders of the Company
The Company was registered with Reserve Bank of India as Non- banking Financial Company (NBFC) since 1986 and has been categorised as Hire Purchase Company. The Company has started Full Fledged Money Changing activity since1996 and has obtained AD Category II from January, 2012 onwards
On 07.02.1997 the controlling stake held by erstwhile promoters ASEL was acquired by ICL Financial Services Ltd. and ICL Securities Ltd. (acquirers) the wholly owned subsidiaries of The India Cements Ltd. Consequently, the name was changed to India Cements Capital & Finance Ltd. and a fresh certificate of incorporation consequent to change of name was obtained on 02.05.1997
A reconstitution of the Board of Directors of ICCFL was carried out on the completion of the formalities with respect to the acquisition of Equity shares / Warrants by the acquirers
The Company had quit hire purchase and leasing business & hived off of its bank liabilities and related charged assets to a special purpose vehicle Company and has been focussing on fee based activities since 2006. Consequently the Company has registered with Reserve Bank of India as Non-Deposit Taking NBFC Company. Subsequently the name of the Company has been changed to “India Cements Capital Limited” with effect from 29.11.2006
